Background

Proposed by the former Chief Secretary to the Government, YBhg. Tan Sri Dato' Sri Dr. Ali bin Hamsa, during a meeting of the Board of Directors of the Malaysian Institute of Integrity (IIM) in April 2013, the Corporate Directors' Leadership and Integrity (CDLI) course was introduced. The aim was to provide a specialised programme for government representatives appointed as board members of Government-Linked Companies (GLCs).

Since its commencement in 2013, the CDLI course has been the flagship programme offered by INTAN, designed to elevate the knowledge and skills of civil servants serving as board members of GLCs. By empowering these individuals, the course seeks to facilitate their significant contributions toward achieving the objectives and goals of these organisations.

Course Objectives

The CDLI course aims to achieve the following objectives for its participants:

  • Explain the role of a board member based on the Malaysian Code on Corporate Governance.
  • Enhance skills as a board member in alignment with the provisions under the Malaysian Companies Act 2016.
  • Increase effectiveness as a board member in accordance with the provisions under the Malaysian Code on Corporate Governance.

Benefits

Participants can expect to gain valuable knowledge and insights that can aid in reducing reprimands from the National Audit Department related to governance issues in GLCs. Additionally, completing the CDLI course opens up opportunities for career advancement and fosters improved decision-making abilities.

Course Modules

The CDLI course is structured around three main modules:

  1. Corporate Governance Module
  2. Audit and Monitoring Module
  3. Internal Control Module

Continuous Improvement

The content of the CDLI course undergoes regular review and enhancement to ensure alignment with stakeholder requirements and current developments. Recent updates include the incorporation of topics related to Economic, Social, and Governance (ESG) principles and Cybersecurity.

Participant Feedback

Feedback from past participants indicates high satisfaction with the quality of course delivery. Many attest to the CDLI course's effectiveness in enhancing their understanding of the roles and responsibilities of a board member, as well as relevant legislation such as the Companies Act 2016, Malaysian Anti-Corruption Commission Act 2009, and the Malaysian Code on Corporate Governance 2017.

Prerequisite Qualifications

The course is open to officers in Grade 41 and above serving in Ministries/Departments/Agencies at the federal and state levels, including federal and state statutory bodies. It is specifically tailored for officers appointed as board members of Government-Linked Companies and statutory bodies at the Federal and State levels.
